LICENSE AGREEMENT FOR THE SALE OF DIGITAL WORKS TO GALLERIX AB

This agreement is made between Gallerix AB (hereinafter referred to as the “Client”) and an individual creator or company selling digital works (hereinafter referred to as the “Supplier”). By accepting this agreement, the Supplier attains the status of a “Qualified Supplier.”

1. TERMS OF AGREEMENT

1.1 Transfer of Rights

By selling a digital work to the Client, the Supplier transfers copyright and commercial rights under the specified terms:

•The Client receives copyright and full commercial rights to the digital work.

•The Client has full rights to market and sell the work.

•The Client has the right to modify the digital files, for example, through technical optimization or file compression.

•The Client has the right to change the design, such as adjusting colors, contrasts, lighting, or altering a composition.

•The Client has the right to name and describe the works.

•The Client has the right to transfer or sell the rights to the works.

2. COMPENSATION AND PRICING

2.1 Compensation

For each digital work purchased, the Client pays a one-time fee according to the current price list, based on the work’s classification: A, B, or C.

2.2 Pricing

The current price list is as follows:

•Class A: $10.00 (excluding VAT and taxes)

•Class B: $5.00 (excluding VAT and taxes)

•Class C: $3.00 (excluding VAT and taxes)

2.3 Classification Criteria

Digital works are classified as follows:

•Class A: 100% perfect technical quality, detailed and unique.

•Class B: High technical quality but not unique or detailed, or medium technical quality.

•Class C: Insufficient technical quality, not unique or detailed (simple).

The Client determines the classification for each digital work, and the Supplier has the right to accept or decline the sale based on this classification.

3. PAYMENT TERMS

3.1 All payments are made excluding VAT and taxes.

3.2 The Supplier shall issue an invoice to Gallerix AB. The invoice should be sent via email to faktura@gallerix.com with a 14-day payment term.

4. DELIVERY AND QUALITY REQUIREMENTS

4.1 Delivery of Digital Files

For each paid work, the Supplier must provide:

•A digital file that meets the technical specifications required by the Client.

•Copyright and commercial rights as specified in this agreement.

5. QUALIFIED SUPPLIER

5.1 A supplier who accepts this license agreement becomes a “Qualified Supplier” and is given the opportunity to create new digital works that the Client may choose to purchase rights to.

5.2 The Client aims to maintain a good relationship with Qualified Suppliers, both short-term and long-term.

6. OTHER TERMS

6.1 Changes to the Agreement

Any changes or additions to this agreement must be made in writing and approved by both parties to be valid. No change will take effect without written approval from both the Client and the Supplier.

6.2 Dispute Resolution

Any disputes arising from this agreement shall be resolved primarily through negotiation between the parties. If no agreement can be reached, the dispute shall be settled by a Swedish court under Swedish law.

7. EXCLUSIVE RIGHTS AND USAGE LIMITATIONS

7.1 Exclusive Rights to Digital Works

When the Supplier sells a digital work to Gallerix AB, all rights to the work are transferred to Gallerix AB with full exclusivity. Gallerix AB thereby obtains exclusive ownership rights to the digital work, including the right to use, modify, sell, and transfer the work under the terms outlined in this agreement.

7.2 Limitation on Further Use

The Supplier has no right to sell, license, or lease the work to third parties or use the work for personal purposes or other uses.

7.3 Consequences of Breaching Exclusive Rights

If the Supplier violates these terms and reuses or sells the work to a third party after selling it to Gallerix AB, Gallerix AB has the right to take legal action and claim compensation for any losses or damages incurred as a result of this breach. In addition to damages, the Supplier must pay a penalty of $2,500 per work sold in breach of this agreement.

8. ACCEPTANCE

By accepting this agreement, the Supplier agrees to the terms set forth above and confirms that Gallerix AB is granted rights in accordance with this license agreement.

9. TERM OF THE AGREEMENT

This agreement is valid for an indefinite period.
